Directors-Dealings
Since Section 15a of the German Securities Trading Act [Wertpapierhandelsgesetz; WpHG] came into effect on 01 July 2002, persons involved in the management of the issuer of the shares such as members of the management board or of the supervisory board as well as their affiliated persons are obliged to notify the issuer and the German Financial Supervisory Authority [Bundesanstalt für Finanzdienstleistungsaufsicht] within five business days of any own transactions involving the issuer's shares or financial instruments pertaining to such shares (for instance, derivatives) (so-called "Director's Dealings"). Such notification is not required as long as the overall sum of the transactions carried out by a person fulfilling management functions and the person closely affiliated with such person does not amount to or exceed a total sum of EUR 5,000 by the end of the calendar year.
